Items such as edible goods, furniture, and other products may incur additional government levies, including NAFDAC and Customs charges in Nigeria, or equivalent duties in the UK. For example, items containing lithium batteries may be subject to additional fees due to their classification as dangerous goods.

Please be aware that customs duties and taxes applicable to your items will be determined by the customs authorities in the destination country. BritNaija cannot influence or control these charges, which are set by the destination country’s customs regulations. We will not be liable for any delays caused by customs procedures. It is your responsibility to provide all necessary documentation for customs clearance as required. Failure to do so may result in additional charges for the return of the shipment to the origin.

24. Warranties and Limitations

BritNaija’s liability for direct loss or damage is limited to £30 per shipment, regardless of shipping category. We are not liable for indirect, special, or consequential losses such as lost profits or future business. This includes losses communicated before or after shipment acceptance. If you believe this limit is insufficient, you must declare the shipment’s value and arrange insurance as directed by us. All claims must be submitted in writing within 30 days of shipment acceptance; otherwise, we accept no liability.

Our website and services are provided “as is” and “as available.” BritNaija makes no warranties, express or implied, regarding the website’s operation or content, including but not limited to merchantability, fitness for a particular purpose, or noninfringement. We do not guarantee uninterrupted or error-free service. Errors or inaccuracies may occur regarding product details, pricing, promotions, or availability. We reserve the right to correct any such errors and update or cancel orders as needed, with or without notice.

BritNaija, including its directors, employees, and affiliates, is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our service or website. Introduction

These Terms and Conditions specifically govern the use of BritNaija Limited’s UK-Nigeria SME Growth and Market Expansion Service (“the Service”). This document is an addition to BritNaija’s general Terms and Conditions and should be read in conjunction with them. The general Terms and Conditions remain applicable unless otherwise specified here.

1. Service Description The UK-Nigeria SME Growth and Market Expansion Service is designed to help Nigerian-owned SMEs in both the UK and Nigeria to expand, promote, sell, and grow their customer base. The Service offers two main options for product listing, promotion, and distribution:

1.1 Direct Shipment Upon Purchase

  • Products are listed on our website, and upon purchase by a customer, the seller arranges for the product to be shipped from Nigeria (or the UK) to the customer.
  • This option is not available for sellers located in the same country as the buyer.

1.2 Pre-Shipment and Distribution

  • Sellers ship their products in advance to either Nigeria or the UK, where they are distributed to our retail partners and listed on various eCommerce platforms.

2. Seller Requirements

2.1 Product Criteria

  • All products must meet the “Made by Nigerian” requirement, ensuring they are either produced in Nigeria or by Nigerian-owned businesses.
  • Products must comply with all applicable local and international regulations, including but not limited to safety standards, labelling requirements, and import/export laws.

2.2 Seller Obligations

  • Sellers must provide accurate and detailed descriptions of their products, including any relevant certifications.
  • Sellers are responsible for ensuring that all shipped products are adequately packaged to prevent damage during transit.

2.3 Quality Assurance

  • BritNaija reserves the right to inspect products for quality assurance purposes before listing or distribution. Products that fail to meet our standards may be rejected.

3. Shipping and Distribution

3.1 Direct Shipment Upon Purchase

  • Sellers are responsible for arranging and covering the cost of shipping products directly to customers when a sale is made through our platform.
  • BritNaija will facilitate the shipping process through our trusted shipping partners to ensure timely and secure delivery.

3.2 Pre-Shipment and Distribution

  • Sellers opting for the pre-shipment service must cover the cost of shipping their products to our designated distribution centres in either the UK or Nigeria.
  • BritNaija will handle the distribution of these products to retail partners and online platforms.

4. Pricing and Fees

4.1 Service Fees

  • Service fees may apply depending on the chosen package. These fees will be communicated to the seller prior to the commencement of the Service.
  • All fees are non-refundable once the Service has begun.

4.2 Pricing Adjustments

  • BritNaija reserves the right to adjust pricing for services provided under this Service based on market conditions, currency exchange rates, or other relevant factors. Sellers will be notified of any changes in advance.

5. Payment Terms

5.1 Commission and Payment

  • BritNaija will retain a commission from each sale made through the platform. The commission rate will be agreed upon in writing with the seller before the listing goes live.
  • Payments to sellers will be made on a monthly basis, minus any applicable fees, commissions, or charges.

6. Liability and Indemnity

6.1 Seller Liability

  • Sellers are fully responsible for ensuring the legality, safety, and quality of their products. Any claims, disputes, or liabilities arising from the sale of these products shall be borne by the seller.

6.2 Indemnity

  • The seller agrees to indemnify and hold BritNaija harmless from any claims, damages, or losses arising from the use of the Service, including but not limited to issues related to product quality, shipping, or compliance with regulations.

7. Termination

7.1 Termination by BritNaija

  • BritNaija reserves the right to terminate a seller’s access to the Service at any time, with or without cause. In such cases, any pre-paid fees will be refunded on a pro-rata basis, except where termination is due to a breach of these Terms.

7.2 Termination by the Seller

  • Sellers may terminate their use of the Service at any time by providing written notice to BritNaija. However, any outstanding orders must be fulfilled, and no refunds will be issued for services already rendered.

8. Governing Law

This Service is governed by the laws of the United Kingdom, and any disputes arising out of or in connection with this Service shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

Procurement and Shipping Services

Introduction

These Terms and Conditions govern the use of BritNaija Limited’s Procurement and Shipping Services (“the Service”). This document serves as an addition to BritNaija’s general Terms and Conditions and should be read together with them. The general Terms and Conditions apply unless otherwise specified here.

1. Service Description

The Procurement and Shipping Services are designed to assist Nigerians in the UK in sourcing products from Nigeria and vice versa. The Service includes both the procurement of specified items and the arrangement of their shipment to the client’s location.

1.1 Procurement Service

  • BritNaija will source products from Nigeria or the UK based on the client’s specifications, including quantity, size, colour, brand, and other relevant details.
  • This Service is exclusively for items sourced by BritNaija on behalf of the client. If clients prefer to source their items independently or already have items for shipping, a separate shipping-only service is available.

1.2 Shipping Service

  • BritNaija provides weekly air freight shipping from Nigeria to the UK and vice versa. We handle all logistics, including packaging, customs clearance, and delivery to the client’s location.

2. Client Requirements

2.1 Item Specifications

  • Clients must provide detailed and accurate specifications for all items they wish to procure through the Service. This includes providing clear descriptions, quantities, sizes, colours, and any other relevant details.

2.2 Prohibited Items

  • Certain items are prohibited from being shipped through our network. Clients are responsible for ensuring that their items comply with all applicable regulations and are not on the prohibited list. Failure to comply may result in the cancellation of the order or the confiscation of the items without compensation.

3. Pricing and Fees

3.1 Service Fees

  • Service fees for procurement and shipping will be communicated to the client prior to the commencement of the Service. Fees are based on the nature of the items, their weight, and the complexity of the procurement process.

3.2 Non-Refundable Fee

  • A non-refundable procurement fee of 2,500 Naira is required before sourcing begins. This fee covers the initial costs of the Service.

3.3 Pricing Adjustments & Lien

  • All prices provided are estimates. Clients are encouraged to contact BritNaija for the most up-to-date pricing based on current exchange rates and other market factors.
  • To secure any outstanding payments for the handling of goods, we will hold a lien over all items in our possession or under our control. If payment is not received within 14 days of the due date, we reserve the right, without further notice, to dispose of the goods in any manner we deem appropriate.

4. Shipping Terms

4.1 Shipping Schedule

  • Goods are typically sourced on Wednesdays and Thursdays, with shipments dispatched every Thursday by air freight. Clients must submit their orders no later than Tuesday of the shipment week.

4.2 Customs and Delivery

  • All shipments are subject to customs checks. Any additional charges incurred due to customs inspections will be the responsibility of the client.
  • Upon arrival in the UK or Nigeria, clients can choose to pick up their items or arrange for delivery. Clients must inform BritNaija of their preferred option for accurate quoting.

5. Liability and Indemnity

  • Clients are responsible for ensuring the accuracy of the specifications provided and for complying with all relevant laws and regulations. Any liabilities arising from inaccuracies or legal non-compliance will be borne by the client.

6. Termination

6.1 Termination by BritNaija
